Northholm Grammar is incorporated as a public company limited by guarantee with a Board of Directors and provision for persons associated with the School to become members of the Company. Our Board is known as the School Council, which is responsible for the appointment of the Principal and the good management and welfare of the School, including provision for the maintenance and protection of the property.

Members of the School Council are selected on the basis of their skills, knowledge and experience across a range of professions. Their collective knowledge assists with the development and implementation of new plans and strategies for the School and guidance to the Principal on matters relating to the both the operation and management of the School. Council members are also heavily involved in various subcommittees alongside members of the community and experts in Governance, Risk and Compliance, Finance, Community Engagement and Partnerships. The Council meets regularly throughout the year with the Principal in attendance.

Director capabilities:
Applicants must be able to demonstrate governance experience and expertise that will contribute to the Board’s collective skill mix. Specifically, we are seeking a deep knowledge, skills and understanding of education.

Directors must also be team players, be able to commit sufficient time to meet their obligations and demonstrate personal qualities such as integrity and the capacity for independent thinking and collegial decision-making;
Directors are expected to demonstrate personal qualities including the ability to listen and communicate ideas, the ability to ask pertinent probing questions, financial awareness, commercial astuteness, integrity and respect for confidentiality;
Directors are expected to support the Anglican faith underpinning the foundation values of the school:
Directors are required to undertake professional development to ensure compliance requirements obligations are met. Courses undertaken will be supported by the School with prior approval.

The Board will also consider whether the nominee brings balance and diversity to the Board.
Qualifications eligible for membership of the Australian Institute of Company Directors are desirable.
Board Directors are non-paid volunteer positions as required by the Education Act (NSW).

The Business Manager is an integral member of the senior leadership team. The position has an important strategic and operational role, contributing to the directions and priorities of the school as a whole, as well as assisting to develop plans and programs to ensure financial sustainability and efficiency across all aspects of SCOTS PGC business operations. The successful candidate will be seeking to embed themselves into a regional community, demonstrate a proven record of exceptional ethical leadership, strategic thinking, operational attention to detail and interpersonal skills.

Reporting to the Principal, and the College Council, the Business Manager will exemplify astute financial and commercial acumen and is responsible for the management of all business functions across the school, including two campuses, two College Boarding Houses and the SCOTS PGC College Foundation. The position also acts as Company Secretary to the School Council and manages the public office accountabilities of the school’s legal entities.

The successful candidate will be CPA or CA qualified and able to demonstrate experience in:

Establishing and maintaining financial reporting frameworks including a high level of knowledge of accounting practices, Corporations Law and governance.
Leading finance, business and project functions as part of a senior team and reporting to a Board or Council, as well as influencing key decisions by providing strong evidence for recommendations.
Leading diverse operational portfolios such as ICT, risk, facilities, and support services.
Establishing effective budget formulation and financial management processes in a commercial or significant not-for-profit environment, with evidence of strong commercial acumen.
Planning and managing significant capital and other projects including the analysis of costs and preparation of business cases.
Leading, developing, and motivating high-performing teams through relational, values-driven leadership.
